These Terms shall be governed by and construed in accordance with the Laws of Kenya.

4.9 Dispute Resolution

Any disputes shall be resolved amicably or, if necessary, referred to arbitration in Nairobi under the Arbitration Act (Cap 49).

6.1 Board Structure

Silva Tech Nexus shall operate under a founder-led executive board, with a minimum of three (3) directors and a maximum of nine (9). The Founder and Chief Executive Officer, Sylivanus Memba Momanyi, retains final oversight authority.

All board members must comply with the Kenya Companies Act, 2015, Part IX (Directors and Officers) regarding conduct, fiduciary duty, and corporate accountability.

Board meetings shall be held quarterly, with minutes recorded and archived under the Secretariat of Corporate Affairs.

6.2 Code of Ethics

Silva Tech Nexus adopts an unwavering ethical code grounded in integrity, innovation, and impact.

All employees, contractors, and partners shall:

  • Uphold confidentiality of data and intellectual property.
  • Avoid conflicts of interest or bribery in any form.
  • Engage in fair competition and respect user privacy.
  • Develop technology that aligns with human values and public good.

Violation of this Code shall attract disciplinary action, including suspension or termination, per Section 19 of the Employment Act, 2007 (Kenya).

6.3 Compliance Oversight

A Compliance Officer shall be appointed to ensure adherence to corporate laws, cybersecurity regulations, and ethical standards. The officer reports directly to the CEO and the board's Audit Committee.

All new partnerships, investments, or projects undergo a compliance review before approval.

6.4 Audit and Risk Management

Internal audits shall be conducted annually to evaluate operational transparency, data protection, and fiscal responsibility.

A Cyber Risk Register will be maintained, identifying potential digital vulnerabilities and response mechanisms.

All audit findings are presented to the board for review and strategic decision-making.

Environmental and Social Responsibility

The company is committed to:

8.1 Ownership

All source codes, frameworks, scripts, APIs, and brand identities developed under Silva Tech Nexus are proprietary and protected under:

8.2 Licensing Models

Silva Tech Nexus may distribute select software under open-source or proprietary licenses. Each release must include a clear license type, version, and usage policy.

  • Proprietary Systems – retained for internal or client-exclusive use, requiring purchase or authorization.

8.3 Developer and Contractor Clauses

All contracted developers must sign Intellectual Property Assignment Agreements (IPAA) ensuring that all works created on behalf of Silva Tech Nexus are owned by the company.

9.1 Eligibility

Partnerships shall be established only with reputable institutions, startups, or service providers that align with the mission of ethical AI and digital sustainability.

9.2 Revenue Sharing

Revenue-sharing terms must be documented in a signed Memorandum of Understanding (MoU) reviewed by the Legal Department.

All collaborative projects must undergo due diligence and approval by the Founder or Board.

9.3 Termination

Silva Tech Nexus reserves the right to terminate any partnership if ethical, legal, or operational violations are identified. Notice shall be provided in writing 30 days prior to termination.

10.1 Payments

Accepted payment methods include M-Pesa, bank transfer, and secure online gateways.

All payments must be processed through verified Silva Tech Nexus channels.

10.2 Refund Policy

Refunds are only applicable where:

  • Services are undelivered due to a verified technical fault.
  • Cancellation occurs within seven (7) business days of payment.

Refunds will be processed within 14 working days after verification.

10.3 Subscription Renewal

All recurring services (e.g., hosting or API access) renew automatically unless canceled 48 hours before the billing date.

Clients will receive automated renewal notices via email or SMS.

Security & Incident Response Policy

Silva Tech Nexus prioritizes cybersecurity, following ISO/IEC 27001 standards for information security management.

11.1 Data Encryption

All client data is encrypted in transit (HTTPS/TLS 1.3) and at rest (AES-256). Access is role-restricted and monitored.

12.2 Support

Customer support shall be available Monday–Saturday, 8:00 AM–9:00 PM EAT.

Response time for inquiries or complaints: within 24 hours.

12.3 Compensation

If uptime falls below 98% in any given month, clients are eligible for a service credit proportional to downtime duration.
